1.1. These Terms and Conditions ("Terms") govern the use of The Apex Pickleball Studio ("the Studio") facilities located at City Industrial Complex.

本條款及細則（下稱「條款」）適用於各區之「The Apex」匹克球工作室（下稱「本工作室」）設施之使用。

1.2. By accessing or using any part of the Studio's facilities, you agree to comply with and be bound by these Terms.

一經進入或使用本工作室任何設施，即表示您同意遵守並受本條款約束。

2.1. Courts are for pickleball play only, and the primary purpose of the Studio includes the development of sports tracking technology software. All facilities must be used in accordance with these Terms.

球場僅供匹克球運動使用，且本工作室之主要用途包括開發運動追蹤科技軟件。使用者必須按照本條款規定使用。

2.2. For the safety and privacy of all users, it is strictly prohibited to permit unauthorised individuals or strangers to enter the Studio premises or conduct any filming/photography therein. Users are required to cooperate fully to maintain a secure environment.

為保障所有使用者的安全與私隱，嚴禁私自允許任何未經授權之陌生人進入本工作室場地或於場內進行拍攝。請各使用者務必緊密配合，共同維護場地安全。

2.3. Paddles, balls, ball machines, and ball retrievers (collectively, the "Equipment") are available at the Studio for use without charge. All Equipment made available at the Studio is private property belonging to the Studio and cannot be removed from the premises.

球拍、球、發球機及撿球器（以下統稱「器材」）可於本工作室免費借用。所有器材均屬本工作室私有財產，不得帶離場地。

2.4. The Studio reserves the right to request monetary compensation in case of damage or loss of any Equipment or any furniture on the Studio premises.

如任何器材或本工作室場地內之傢俱遭受損壞或遺失，本工作室保留要求金錢賠償之權利。

2.5. Smoking and drug use are strictly prohibited within the Studio premises.

本工作室場地內嚴禁吸煙及使用藥物。

2.6. Each of the following is strictly prohibited: (i) reselling, transferring, or commercialising court time in any manner; (ii) profiting from court bookings including but not limited to charging others for access beyond official Studio fees; (iii) using court time for unauthorised commercial activities; (iv) posting court availability on any third-party platforms without the Studio's permission; or (v) providing training or hosting events without the Studio's written consent.

以下行為嚴格禁止：(i) 以任何形式轉售、轉讓或商業化利用場地使用時段；(ii) 透過場地預訂牟利，包括但不限於向他人收取超出本工作室官方費用之款項；(iii) 將場地使用時段用於未經授權之商業活動；(iv) 未經本工作室許可，於任何第三方平台發佈場地可預約資訊；或 (v) 未獲本工作室書面同意而提供培訓或舉辦活動。

2.7. A 24-hour closed-circuit television (CCTV) surveillance system is in operation across the premises. By entering and using the Studio's facilities, users voluntarily consent to and authorise the collection, recording, and processing of their pickleball gameplay footage, images, and performance data for the purposes of software research, development, and optimization.

場地內設有24小時閉路電視（CCTV）錄影系統。一經進入及使用本工作室設施，即表示使用者自願同意並授權本工作室收集、記錄及使用其匹克球運動之畫面、影像及相關運動數據，以作軟件研發、測試及優化之用途。

2.8. To ensure an optimal venue experience for all guests, users must vacate the court and premises within ten (10) minutes after their designated booking time ends. Continued occupancy or usage of the court during unbooked time slots will result in an automatic additional charge, which will be calculated and billed on an hourly basis.

為確保每位客人皆能享有良好的場地使用體驗，使用者必須於預約時段結束後的十分鐘內收拾妥當並離開場地。如使用者於未經預約或授權之時段內繼續佔用或使用場地，本工作室將自動以一小時為單位計算並向該使用者追收相關場地使用費用。

3.1. No-shows or cancellation will result in forfeiture of booking time and applicable fees. No make-up sessions or refunds will be provided.

缺席或取消預訂將導致該時段被沒收，且已付費用不予退還。不提供補時或退款。

3.2. All bookings are final, non-refundable and non-exchangeable.

所有購買項目一經確認，恕不退換。

3.3. The Studio reserves the right to cancel or modify bookings at its discretion.

本工作室保留自行決定取消或修改預訂之權利。

4.1. All fees for court rentals are as communicated to you by the Studio.

場地租用之所有費用均以本工作室告知之金額為準。

4.2. Payments must be made in full at the time of reservation.

預訂時須全額支付費用。

4.3. The Studio reserves the right to change its fee structure at any time.

本工作室保留隨時調整費用結構之權利。

5.1. Pickleball is a physical activity that carries inherent risks, including but not limited to slips, falls, sprains, strains, collisions, and equipment-related injuries. By entering the premises or participating in any activity, you voluntarily assume full responsibility for all associated risks arising from the use of the Studio facilities, premises and/or equipment. It is your responsibility to ensure you are medically and physically fit to participate.

匹克球為體育活動，具有固有風險，包括但不限於滑倒、跌倒、扭傷、拉傷、碰撞及器材相關傷害。進入場地或參與任何活動，即表示您自願承擔因使用本工作室設施、場地及/或器材所產生之一切相關風險的全部責任。您有責任確保自身健康及體能狀況適合參與。

5.2. The Studio is not liable for any injury, loss, or damage sustained while using the venue.

對於使用場地期間所遭受的任何傷害、損失或損害，本工作室概不負責。

5.3. To the maximum extent permitted by law, the Studio, its owners, staff, contractors, and affiliates accept no liability for any injury, illness, loss, damage, or death incurred on the premises, whether arising from negligence or otherwise.

在法律允許的最大範圍內，本工作室及其業主、員工、承包商與關聯方，對於在場地內發生的任何傷害、疾病、損失、損壞或死亡（無論是否因疏忽或其他原因所致）概不承擔責任。

6.1. Children under the age of 13 must always be accompanied and supervised by a parent or legal guardian, except during authorised coaching programs or supervised events. Parents or guardians remain responsible for the conduct and safety of any minors in their care.

13 歲以下兒童必須時刻由家長或法定監護人陪同及監管，經授權的培訓課程或監管活動除外。家長或監護人須對其照顧之未成年人的行為及安全負責。

6.2. Users aged 13-17 may attend without a parent or guardian but must comply with all venue rules. Misconduct may result in immediate removal and notification of a parent or guardian.

13 至 17 歲之場地使用者可在無家長或監護人陪同下到場，但必須遵守所有場地規則。行為不當者可能被立即要求離場，並通知其家長或監護人。

6.3. Parents or legal guardians shall be fully responsible and liable for any loss, damage, injury, or any other liability caused by or arising from the acts, omissions, or conduct of the minor(s) under their care while on the Club premises, including liability for damage to Club property or injury to third parties.

家長或法定監護人須為由其照管的未成年人於本工作室場地內之行為、疏忽或舉動所引致的任何損失、損害、傷害或其他任何責任承擔全部責任，包括對本工作室財產或第三方造成損害之責任。

7.1. All personal items are brought onto the premises at your own risk. None of the Studio, its owners or staff is responsible for lost, stolen, or damaged property.

所有帶入場地之個人物品，其風險由您自行承擔。本工作室、其業主或員工均不對任何遺失、被盜或損壞之財物負責。

8.1. The Studio is committed to protecting the privacy of its guests.

本工作室致力保護賓客之隱私。

8.2. Personal information collected by the Studio will be used solely for administrative and communication purposes.

本工作室收集之個人資料僅用於行政及通訊目的。

8.3. The Studio will not share personal information with third parties without prior consent, except as required by law or regulation.

除法律或法規要求外，未經事先同意，本工作室不會向第三方分享個人資料。

9.1. The Studio reserves the right to amend these Terms at any time.

本工作室保留隨時修訂本條款之權利。

9.2. Guests will be notified of any changes through the Studio's official communication channels.

任何變更將透過本工作室官方通訊渠道通知賓客。

9.3. Continued use of the Studio's facilities constitutes acceptance of the amended Terms.

繼續使用本工作室設施即表示接受修訂後之條款。

10.1. The Club reserves the right to immediately suspend or terminate a user's access to the facilities, without notice and without refund, in the event of a serious breach of these Terms, including but not limited to violations of Clauses 2.4 and 2.5.

如場地使用者嚴重違反本條款（包括但不限於違反第 2.4 及 2.5 條），本俱樂部保留立即暫停或終止其使用設施之權利，且無需事先通知，亦不予退款。

10.2. In the event of termination under Clause 10.1, all fees paid are forfeited, any remaining Wallet balance (paid and promotional) is forfeited in accordance with Clause 15.8, and the user shall remain liable for any damages or losses incurred by the Studio as a result of the breach.

若根據第 10.1 條終止服務，所有已付費用將被沒收，任何剩餘之餘額餘額（包括已付及推廣性質）將按第 15.8 條沒收，且使用者仍須對其違約行為給本工作室造成的任何損害或損失承擔責任。

11.1. The Studio reserves the right to close, restrict, repair, maintain, or modify any part of the facilities at any time without prior notice.

本工作室保留隨時關閉、限制使用、維修、保養或修改任何設施之權利，且無需事先通知。

11.2. The Studio shall not be liable for any losses, expenses, inconvenience, or damages arising from the closure, restriction, modification, or unavailability of any facilities.

因任何設施之關閉、使用限制、變更或無法使用而引致之任何損失、開支、不便或損害，本工作室概不負責。

12.1. The Studio shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, labour disputes, power failures, system outages, or government actions.

如因超出本工作室合理控制範圍之事件（包括但不限於天災、自然災害、流行病、勞資糾紛、停電、系統故障或政府行動）而導致任何履約失敗或延誤，本工作室概不負責。

13.1. These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

本條款應受香港特別行政區法律管轄並按其解釋。

13.2. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

因本條款引起或與之相關之任何爭議，均應提交香港法院專屬管轄。

14.1. The Club reserves the sole right to interpret and enforce these Terms.

本工作室保留對本條款之解釋與執行的唯一決定權。

14.2. These Terms are prepared in both English and Chinese languages. In the event of any discrepancy or inconsistency between the two versions, the English version shall prevail for all purposes.

本條款備有英文及中文版本。如兩個版本之間存在任何歧義或不一致之處，應以英文版本為準，並對所有目的具有約束力。

15.1. The Wallet / stored value is a prepaid facility made available by the Studio for booking eligible services and products offered by the Studio only.

會員餘額為本工作室提供之預付儲值功能，只可用於支付本工作室提供之合資格服務及產品。

15.2. Wallet balance does not constitute a bank deposit, e-money account, or any other regulated financial product, and no interest will accrue.

會員餘額並不構成銀行存款、電子貨幣帳戶或任何受監管金融產品，亦不會產生任何利息。

15.3. The Studio may from time to time offer bonus, promotional, gifted, or goodwill credits. Such credits may be subject to separate terms, validity periods, campaign limits, or restrictions notified by the Studio at the time of issue.

本工作室可不時提供獎賞、推廣、贈送或酌情發放之餘額。該等餘額可受發放時通知之獨立條款、有效期、推廣上限或其他限制所約束。

15.4. Unless otherwise expressly stated by the Studio, all Wallet balances (including paid and promotional credits) are non-refundable, non-transferable, non-exchangeable, and may not be redeemed for cash.

除本工作室另有明文說明外，所有會員餘額（包括已付及推廣性質餘額）均不可退款、不可轉讓、不可兌換，亦不得兌換為現金。

15.5. Wallet balances may only be used by the account holder and must not be sold, assigned, shared, or otherwise transferred to any third party without the Studio's written consent.

會員餘額只可由帳戶持有人本人使用，未經本工作室書面同意，不得出售、轉讓、分享或以其他方式提供予任何第三方。

15.6. The Studio reserves the right to correct any Wallet balance error, reverse any mistaken credit, and refuse or reverse any transaction where fraud, abuse, payment reversal, chargeback, system error, or breach of these Terms is suspected or identified.

如發現會員餘額餘額錯誤、誤發餘額、欺詐、濫用、付款撤回、退單、系統錯誤或違反本條款之情況，本工作室保留更正餘額、撤銷錯誤入帳、拒絕或撤銷有關交易之權利。

15.7. Where the Studio has reasonable grounds to believe a user has engaged in abuse, misconduct, fraud, resale, unauthorised commercial activity, or any serious breach of these Terms, the Studio may suspend or terminate the account and freeze, cancel, or forfeit all or part of the Wallet balance without notice and without refund, to the fullest extent permitted by law.

如本工作室有合理理由相信使用者涉及濫用、不當行為、欺詐、轉售、未經授權之商業活動或嚴重違反本條款，本工作室可在法律容許之最大範圍內，無需事先通知且不予退款，即時暫停或終止帳戶，並凍結、取消或沒收全部或部分會員餘額餘額。

15.8. Any forfeiture under these Terms may include both purchased Wallet value and any bonus or promotional credits then remaining in the account.

根據本條款作出之任何沒收，可包括帳戶內尚餘之已購買會員餘額及任何獎賞或推廣餘額。

15.9. The Studio reserves the right to introduce expiry dates, minimum use rules, campaign caps, service restrictions, or other operating rules for Wallet balances and promotional credits at any time upon notice through official channels.

本工作室保留在任何時間透過官方渠道通知後，為會員餘額及推廣餘額引入到期日、最低使用要求、活動上限、服務限制或其他營運規則之權利。

15.10. The Studio may amend the Wallet programme, suspend top-up or redemption features, or discontinue the Wallet programme at any time. Where the programme is discontinued, the Studio may specify how any remaining balance will be handled subject to applicable law and these Terms.

本工作室可於任何時間修訂會員餘額計劃、暫停增值或兌換功能，或終止會員餘額計劃。如該計劃被終止，本工作室可在遵守適用法律及本條款之前提下，訂明任何剩餘餘額之處理方式。
